Review checklist before signing

  • Appendix A lists every page and feature you agreed on by email.
  • The deposit percentage and late-payment terms match how you actually work.

  • Hosting and domain: decide who pays and add a clause if you manage them.
  • Both parties' legal names are written exactly as registered.

This is a template to adapt to your business, not legal advice.

Client: Lena Park, a freelance web designer trading as Park Studio Design. Template for one-off website projects. Fields in [BRACKETS] are filled in for each new client.

The client and all details are made up.

About this service

A sale of goods agreement between businesses settles what is sold, at what price, how and when it is delivered and who carries the risk on the way. We fill in the template with your products or specification, prices and payment terms, delivery terms (Incoterms if goods cross borders), acceptance and quality checks, defects and returns, liability limits and how disputes are resolved. It suits manufacturers, wholesalers and distributors who supply the same buyer repeatedly or under one order.

What is included

  • What you getA filled-in sale of goods template with your parties, goods, prices and terms, plus a specification annex, as text and a .docx file, with a review checklist. It is a template, not legal advice: have a lawyer in your country check it before use.

  • The money is reservedWhen you pay, the amount is only reserved. It is released to the service once you accept the work.
  • Checked before deliveryEvery result goes through a quality check before it reaches you, and you see it on the order page before accepting it.
  • Free revisionsAsk for changes within your brief as many times as the package allows.

Questions and answers

Is this legal advice?

No. It is a template for information. Sale of goods rules and mandatory terms differ by country, so have a commercial lawyer check it.

Which Incoterms should I use?

We fill in the term you choose and explain in the notes who pays and carries risk under it. The choice itself is a commercial decision for you and your buyer.

Can it cover international sales?

Yes. We add governing law, currency and customs points to check. Cross-border deals especially need a local legal review.
