Review checklist before signing

  • Appendix A lists every page and feature you agreed on by email.
  • The deposit percentage and late-payment terms match how you actually work.
  • The liability cap and termination terms are acceptable under the law of [COUNTRY/STATE]; a local lawyer can confirm this.
  • Hosting and domain: decide who pays and add a clause if you manage them.
  • Both parties' legal names are written exactly as registered.

This is a template to adapt to your business, not legal advice.

Client: Lena Park, a freelance web designer trading as Park Studio Design. Template for one-off website projects. Fields in [BRACKETS] are filled in for each new client.

The client and all details are made up.

About this service

Before you show a pitch deck, source code or a supplier list, an NDA sets out what counts as confidential and how long it stays secret. We prepare a one-way or mutual agreement with a precise definition of confidential information, the usual exclusions, permitted use, return of materials, the term and the remedies. You get a template filled in with the parties and the purpose, so it does not read like a document copied from somewhere else.

What is included

  • What you getA filled-in NDA as text you can paste into a document and send for signature, plus a checklist. You also get it as a Word (.docx) file. It is a template, not legal advice: have a lawyer check it for your country before signing.

  • Precise definitionWhat is and is not confidential

What we need from you

Who the parties are, whether both sides share secrets, what you will disclose and why, how long it must stay confidential, and the countries involved.

We will ask you:

  • Who will sign it?
  • Is it one-way or mutual?
  • What will you share, and for what purpose?
  • How long should the secrets stay protected?

Questions and answers

Do investors sign NDAs?

Many venture investors decline them at the first meeting. An NDA is more common with contractors, partners, buyers in due diligence and new employees.

Can I add a non-compete clause?

We can include one if you ask, but such clauses are restricted or void in many places, so treat it as a point for your lawyer.

Does the NDA work in two countries?

We add a governing law and venue clause for the country you choose. Whether a court elsewhere enforces it is a question for local counsel.
