Business letter: payment reminder to a wholesale client
Version A: polite but clear
Subject: Invoices HOC-0412 and HOC-0419: payment now 34 days overdue
Dear Ms. [Surname],
Thank you again for featuring our autumn mugs in your window display. We have heard from several of your customers who found us through your shop, and we value the partnership.
I am writing about two invoices that remain open:
| Invoice | Date | Amount | Due date |
|---|---|---|---|
| HOC-0412 | 2 September | $1,240.00 | 16 September |
| HOC-0419 | 9 September | $865.50 | 23 September |
| Total | $2,105.50 |
We have not yet received payment for either of them, and our reminder of 1 October went unanswered. If payment has already been sent, please accept our thanks and let me know the date so we can match it.
Could you please settle the total of $2,105.50 by [date, 7 days from sending]? Bank details are at the bottom of both invoices. If a split payment would be easier, reply to this email with a date for each part and we will gladly agree it.
We would like to plan your winter order together, and we can confirm the new collection as soon as the account is up to date.
Kind regards, [Your name] Hollow Oak Ceramics | [phone]
Version B: firm (changed paragraphs)
Subject: Final reminder: $2,105.50 overdue since September
Despite our reminder of 1 October, invoices HOC-0412 and HOC-0419 remain unpaid, now 34 days past their due dates.
Please pay the full $2,105.50 by [date]. Until the account is settled, we are unable to dispatch new orders, including the winter collection reserved for you.
If we do not receive payment or a reply by that date, we will apply the late fee set out in our terms of trade (section 5) and pass the matter to our collections partner.
Notes for you
- Use Version A first. If there is no reply within 7 days, send Version B.
- Fill in the bracketed fields and check that the invoice amounts match your records.
- Only mention the late fee if it really is in the terms the client signed.

About this service
If a video, post, listing or repository was removed after a copyright complaint you believe is wrong, US law lets you file a counter-notice, and platforms such as YouTube, Instagram, Etsy, GitHub and web hosts accept one. It must contain specific elements: identification of the removed material and where it was, a statement under penalty of perjury that it was removed by mistake or misidentification, your name, address and phone, consent to the jurisdiction of a federal court and agreement to accept service from the complainant. We draft it from your facts with each element in place and explain why you own the material or may use it; it is a draft, not legal advice, and you decide whether to file it and submit it yourself.
What is included
- What you getA complete counter-notice with every required element and a short explanation of your rights to the material, as text to paste into the platform's form or email to its copyright agent.
- All statutory elementsSo the platform cannot reject it as incomplete
- Your rights explainedOwn work, licence, permission or fair use
- Platform-ready textFits the counter-notice form or an email
- Risk noteWhat happens to your details and timelines
- Evidence listLicences, project files, upload history
How it works
- 1Takedown detailsYou paste the notice and explain your rights
- 2DraftingWe write the counter-notice element by element
- 3Your decisionYou decide to file and submit it yourself
What we need from you
The platform and the takedown message you received (pasted), the link or title of the removed content, why it is yours or why you may use it (licence, permission, your own recording), and the name and contact details you will use.
We will ask you:
- Which platform removed your content, and what did the notice say?
- Why do you have the right to use this material?
- Do you know who filed the complaint?
- Which name and contact details will you put on the counter-notice?

Questions and answers
Is there any risk in filing?
Yes. Your contact details are passed to the complainant, the statement is made under penalty of perjury, and they may sue to keep the content down. File only if you are sure of your rights.
When does the content come back?
Under US rules the platform usually restores it 10 to 14 business days after your counter-notice, unless the complainant tells it they have gone to court.
I live outside the US. Can I still file?
Many platforms accept counter-notices from anywhere, with consent to a specified court instead. Check the platform's own help page for the exact wording.
